In these Terms and Conditions, the following definitions apply:
'Rydora' refers to the platform, its owners, operators, employees, and affiliates operating under the domain rydora.in and rydora.app.
'Agency Partner' or 'Agency' refers to any travel agency, tour operator, ride organizer, adventure company, or individual operator who registers on the Rydora Agency Portal at agency.rydora.in.
'Platform' refers to the Rydora digital ecosystem including web applications, mobile applications, APIs, and all associated services.
'Package' refers to any travel itinerary, tour package, riding expedition, camping trip, or adventure experience listed by the Agency on the Platform.
'End User' or 'Rider' refers to any person who discovers, books, or purchases a Package through the Rydora Platform.
'Booking' refers to any confirmed reservation made by an End User for an Agency Package through Rydora.
2.1 The Agency must be a legally registered business entity or individual operator with valid government-issued identification and applicable tourism/travel licenses.
2.2 The Agency must provide accurate, complete, and current registration information including agency name, contact details, registration number, and address. Any false information constitutes grounds for immediate termination.
2.3 The Agency is responsible for maintaining the confidentiality of their login credentials. Rydora shall not be liable for any unauthorized access resulting from the Agency's failure to secure their credentials.
2.4 Rydora reserves the right to verify the Agency's credentials, business registration, and licenses at any time. Failure to provide verification documents within 7 business days of request may result in account suspension.
2.5 One agency may not operate multiple accounts. Duplicate accounts will be terminated without notice.
3.1 All Packages listed must be genuine, legally operable, and accurately described. Misleading descriptions, fake itineraries, or exaggerated claims are strictly prohibited.
3.2 Package pricing must be transparent. Hidden charges, last-minute price escalations, or charges not disclosed in the listing are grounds for account suspension.
3.3 The Agency retains full responsibility for the accuracy of Package details including routes, duration, inclusions, exclusions, difficulty levels, and group size limits.
3.4 Rydora reserves the right to review, edit, reject, or remove any Package listing that violates content standards, contains inappropriate material, infringes intellectual property rights, or is deemed harmful to the Rydora brand or its users.
3.5 The Agency must not list Packages that involve illegal activities, prohibited routes, or locations restricted by government authorities.
3.6 All Package images and media must be original or properly licensed. Unauthorized use of copyrighted images will result in immediate removal and possible legal action.
4.1 Once a booking is confirmed by the Agency, it constitutes a binding agreement between the Agency and the End User. Rydora acts solely as the technology platform facilitating this connection.
4.2 The Agency must maintain a clearly stated cancellation and refund policy within their Package listing. Failure to honor the stated policy will be treated as a breach of these Terms.
4.3 In cases of disputes between the Agency and End User regarding refunds, Rydora may mediate but shall not be financially liable for any refund amounts.
4.4 Agencies must respond to booking requests within 24 hours. Consistent non-response may result in automatic de-listing of affected Packages.
4.5 Rydora reserves the right to issue refunds to End Users on behalf of the Agency in cases of proven misconduct, and to recover such amounts from future Agency payouts.
5.1 Rydora charges a platform commission on each confirmed booking. The current commission rate is communicated during onboarding and may be updated with 30 days prior notice.
5.2 Payouts to Agency Partners are processed after deduction of applicable commission, taxes, and any outstanding dues or penalties.
5.3 The Agency must provide valid bank account details for payment processing. Rydora shall not be liable for failed payouts due to incorrect banking information.
5.4 Rydora reserves the right to withhold payouts pending investigation of disputes, complaints, or suspected fraudulent activity.
5.5 All payments are subject to applicable Indian taxation laws including GST. The Agency is responsible for their own tax compliance and filings.
6.1 The Agency is solely responsible for the safety, insurance, and legal compliance of all Packages and activities offered on the Platform.
6.2 All Packages involving adventure activities, high-altitude routes, water sports, or motorized vehicles must comply with applicable Indian regulations and carry appropriate permits and insurance.
6.3 The Agency must ensure all guides, staff, and vehicles associated with their Packages are licensed, trained, and insured as per applicable law.
6.4 In the event of any accident, injury, or death occurring during an Agency Package, the Agency bears full legal and financial responsibility. Rydora shall not be named as a party in any resulting legal proceedings unless proven to have directly caused the incident.
6.5 The Agency must maintain adequate public liability insurance coverage for all Packages listed on the Platform.
7.1 The Agency grants Rydora a non-exclusive, royalty-free, worldwide license to use, display, and promote Package content including text, images, and videos for marketing and platform purposes.
7.2 All Rydora trademarks, logos, brand elements, and platform technology remain the exclusive property of Rydora. The Agency may not use Rydora branding without prior written consent.
7.3 The Agency represents that all content submitted to the Platform is original or properly licensed and does not infringe any third-party intellectual property rights.
8.1 Rydora collects and processes Agency data in accordance with its Privacy Policy available at rydora.in/privacy.
8.2 The Agency agrees that Rydora may use anonymized booking and performance data to improve platform services and generate market insights.
8.3 The Agency must handle End User personal data received through Rydora with strict confidentiality and in compliance with applicable data protection laws including the Digital Personal Data Protection Act, 2023.
8.4 The Agency may not use End User contact information obtained through Rydora to solicit bookings outside the Platform.
The following actions are strictly prohibited and will result in immediate account termination:
10.1 Rydora reserves the right to suspend or terminate any Agency account at its sole discretion with or without notice in cases of: - Violation of these Terms - Repeated End User complaints - Safety incidents during Package operations - Legal proceedings against the Agency - Platform abuse or fraudulent activity
10.2 The Agency may terminate their account by providing 30 days written notice to support@rydora.in. All pending bookings must be honored or properly refunded before closure.
10.3 Upon termination, all Package listings will be immediately removed. Outstanding payouts will be processed after a 90-day hold period to cover any pending disputes.
11.1 Rydora's total liability to the Agency for any claim arising under these Terms shall not exceed the total commission earned from the Agency in the 3 months preceding the claim.
11.2 Rydora shall not be liable for indirect, consequential, special, or punitive damages including loss of profits, loss of data, or business interruption.
11.3 Rydora does not guarantee continuous, uninterrupted Platform availability and shall not be liable for losses arising from Platform downtime, technical failures, or third-party service disruptions.
12.1 These Terms are governed by and construed in accordance with the laws of India.
12.2 Any disputes arising from these Terms shall first be attempted to be resolved through good-faith negotiation.
12.3 If negotiation fails, disputes shall be submitted to binding arbitration under the Arbitration and Conciliation Act, 1996, with the seat of arbitration in Bengaluru, Karnataka, India.
12.4 The courts of Bengaluru, Karnataka shall have exclusive jurisdiction over any matters not subject to arbitration.
13.1 Rydora reserves the right to modify these Terms at any time. Material changes will be communicated via email and in-portal notification with at least 30 days notice.
13.2 Continued use of the Platform after the effective date of amended Terms constitutes acceptance of the new Terms.
13.3 It is the Agency's responsibility to review Terms periodically. Rydora maintains a version history of all Terms changes.
